1. Acceptance of Terms

By subscribing to, accessing, or using the North Shield Safety Compliance platform ("the Service") at northshieldsafetycompliance.ca, you ("the Client") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Nature of the Service (Disclaimer of Liability)

North Shield Safety Compliance provides a digital documentation, organization, and compliance dashboard. North Shield is a software provider, not a safety consultant, inspector, or regulatory body.

Limitation of Liability

To the maximum extent permitted by Alberta law, North Shield Safety Compliance, its founders, and affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages — including but not limited to workplace injuries, regulatory fines, stop-work orders, or loss of profits — arising out of the use or inability to use the Service. In no event shall North Shield's total liability exceed the total amount paid by the Client for the Service in the twelve (12) months preceding the claim.

Indemnification

The Client agrees to indemnify and hold harmless North Shield Safety Compliance from any claims, lawsuits, fines, or damages arising from the Client's use of the Service, the actions of the Client's workers, or the Client's failure to comply with local safety legislation.

5. Data Privacy and Ownership

Client Data

The Client retains all ownership rights to the specific data, names, and forms submitted into the Service by their workers.

Platform Ownership

North Shield retains all intellectual property rights to the software, dashboard architecture, JSON schemas, source code, and user interface.

Privacy (PIPEDA Compliance)

North Shield will implement reasonable, industry-standard safeguards (including SSL encryption and secure server hosting) to protect Client data in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA). North Shield will not sell or share Client data with third-party marketers.

6. User Responsibility and Account Security

The Client is responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account. The Client must ensure that only authorized personnel have access to submit or approve safety documentation on the platform.

7. Termination

Either party may terminate this agreement at any time by cancelling the monthly subscription. Upon termination, the Client's access to the dashboard will be revoked at the end of the current billing cycle. North Shield reserves the right to delete Client data 60 days following the termination of the account.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.
